Marsh Master Classic, LLC & Marsh Master Roundup, Inc (501(c)(3) Nonprofit Organization)

SPONSORSHIP TERMS & CONDITIONS

By purchasing, committing to, or participating as a sponsor of Marsh Master Classic, LLC & Marsh Master Roundup, Inc (501(c)(3) Nonprofit Organization) ("Event"), Sponsor agrees to the following terms and conditions:

1. SPONSORSHIP BENEFITS

Sponsor shall receive the benefits associated with the sponsorship level selected, subject to the terms herein. Sponsorship benefits are non-transferable unless approved in writing by Event management.

The Event reserves the right to make reasonable substitutions of benefits, placements, promotional opportunities, or event elements when necessary due to operational, logistical, safety, scheduling, weather, venue, or other circumstances beyond the Event's control.

2. PAYMENT & REFUNDS

All sponsorship payments are final and non-refundable.

No refunds, credits, chargebacks, or cancellations shall be issued due to Sponsor's inability to attend, utilize sponsorship benefits, provide required materials, participate in event activities, or for any other reason not caused solely by the Event's cancellation.

In the event of weather, natural disaster, government action, emergency conditions, venue restrictions, force majeure events, or circumstances beyond the Event's reasonable control, sponsorship payments shall remain non-refundable.

3. MARKETING MATERIALS & DEADLINES

Sponsor is solely responsible for providing all requested logos, artwork, company information, social media handles, website information, advertisements, promotional materials, participant names, and other requested information by the deadlines established by the Event.

The Event shall not be responsible for missed promotional opportunities, omitted materials, delayed recognition, signage omissions, website omissions, social media omissions, or reduced exposure resulting from Sponsor's failure to provide required materials in a timely manner.

4. USE OF NAME, LOGO & CONTENT

Sponsor grants the Event, its affiliates, partners, contractors, volunteers, photographers, videographers, and marketing representatives the irrevocable right to use Sponsor's name, logo, trademarks, submitted materials, photographs, video footage, and likenesses associated with Sponsor for purposes of promoting, documenting, advertising, marketing, and operating the Event.

No additional compensation shall be owed for such use.

5. SPONSOR RECOGNITION & PLACEMENT

All sponsor recognition, logo placement, signage placement, website placement, social media placement, vendor placement, VIP access, and promotional opportunities shall be determined solely by the Event.

The Event reserves the right to modify layouts, locations, placements, schedules, programming, signage, and promotional plans as reasonably necessary.

6. VENDOR SPACES

Where vendor space is included as a sponsorship benefit, placement, size, location, and setup requirements shall be determined by the Event.

Sponsor agrees to comply with all event rules, venue requirements, safety requirements, local laws, and instructions provided by Event staff.

The Event reserves the right to relocate vendor spaces when reasonably necessary for operational, safety, or logistical purposes.

7. VIP ACCESS, TICKETS & CREDENTIALS

VIP credentials, parking passes, wristbands, event tickets, hospitality access, and other credentials remain the property of the Event and may be revoked for misuse, unauthorized transfer, disruptive conduct, safety concerns, or violations of Event policies.

Sponsor is responsible for distributing credentials to its guests, employees, representatives, and invitees.

8. SPONSOR CONDUCT

Sponsor, its representatives, employees, guests, invitees, contractors, and participants shall conduct themselves professionally and in a manner consistent with the family-friendly nature of the Event.

The Event reserves the right to remove any individual or revoke sponsorship benefits for behavior deemed unsafe, illegal, disruptive, abusive, threatening, offensive, or detrimental to the Event, attendees, sponsors, volunteers, or the community.

9. LIMITATION OF LIABILITY

Sponsor agrees that Marsh Master Roundup, Inc, its officers, directors, committee members, volunteers, affiliates, sponsors, landowners, vendors, contractors, agents, and representatives shall not be liable for any indirect, incidental, consequential, special, punitive, or economic damages arising from participation in the Event.

The total liability of the Event, if any, shall not exceed the amount of sponsorship funds actually paid by Sponsor.

10. INDEMNIFICATION

Sponsor agrees to defend, indemnify, and hold harmless Marsh Master Roundup, Inc, its officers, directors, committee members, volunteers, affiliates, sponsors, agents, and representatives from any claims, liabilities, damages, losses, costs, or expenses arising from Sponsor's participation in the Event, including the acts or omissions of Sponsor's employees, guests, representatives, contractors, or invitees.

11. FORCE MAJEURE

The Event shall not be liable for any delay, modification, interruption, reduction of benefits, postponement, relocation, or cancellation caused by weather, flood, hurricane, fire, disease outbreak, governmental action, labor disputes, acts of God, public safety concerns, venue restrictions, or any other cause beyond the Event's reasonable control.

12. DISPUTE RESOLUTION

The parties agree to make a good-faith effort to resolve any dispute, claim, or controversy arising out of or relating to sponsorship participation, these Terms and Conditions, or the Event through informal discussions first.

If the dispute cannot be resolved informally, the parties agree to participate in mediation conducted in Chambers County, Texas, before pursuing any further action.

If mediation is unsuccessful, the dispute shall be resolved exclusively through binding arbitration administered by a mutually agreed-upon arbitration provider in Chambers County, Texas.

The parties knowingly and voluntarily waive any right to a trial by jury and agree that arbitration shall be the sole and exclusive method of resolving disputes arising from sponsorship participation.

Each party shall bear its own attorneys' fees, costs, and expenses unless otherwise awarded by the arbitrator.

Texas law shall govern the interpretation and enforcement of these Terms and Conditions.

13. ENTIRE AGREEMENT

These Terms and Conditions, together with the selected sponsorship package, constitute the entire agreement between the parties regarding sponsorship participation.

By submitting payment, executing a sponsorship agreement, checking an acknowledgment box, or otherwise participating as a sponsor, Sponsor acknowledges that it has read, understands, and agrees to these Terms and Conditions.
